Disclosures & practices of Company for connected transaction

Translation March 2, 2009 Subject: Disclosures and practices of the Company for connected transactions Attention: Director and Manager The Stock Exchange of Thailand Dusit Thani Public Company Limited had reported the support transactions with normal courses in business and compensation which cannot be calculated from either assets or referral prices. The above such transaction of every six months, detailed presented as follows: 1. Connected transactions between Dusit Thani Public Company Limited and subsidiaries with Acme Printing Company Limited: Mrs. Sinee Thienprasiddhi, a major shareholder of Acme Printing Company Limited. - During January June 2008, Acme Printing Company Limited printed the calendar and Annual Reports for the Company totalling Baht 1,885,264. - During July December 2008, Acme Printing Company Limited printed brochures, leaflets, packing paper totalling Baht 116,031. 2. The condition used to consider value of transaction is that the value must be more than Baht 1 million but less than Baht 20 million, or more than 0.03% but less than Baht 3% of Net Tangible Assets (NTA). NTA = Tangible Assets Liabilities Minority Interests The Company calculated the value of transactions based on the consolidated financial statements as follows: Unit: Million Baht Ended June 30, 2008 Ended December 31, 2008 NTA = (6,148.33-99.81)-1,861.36-230.26 =(5,940.19-83.99)-1,804.65-227.26 = 3,956.90 = 3,824.29 Value of transactions = 1.89 / 3,956.90 = 0.12 / 3,824.29 = 0.05% = 0.003% The value of transactions during January June 2008 was 1,885,264 or 0.05% of net tangible assets, as such the Company has to report and disclose such information to the Stock Exchange of Thailand, reference to the enclosure. For the value of transactions during July December 2008 was 116,031 or 0.003% of net tangible assets, no need to report such transaction. 3. Connected and shared interest directors were not involved in this decision making. 4. All directors, excluding shared interest directors agreed that such connected transactions, agreed with the above connected transactions as the Company and subsidiaries engaged Acme Printing Company Limited by bidding with other companies to compare prices and conditions for the best benefits to the Company. 5. Audit Committee s opinion to such transaction is the same as Board of Directors of the Company.
