TO PURCHASE THE SHARES OF KORAT THANI CO.,LTD. FROM MI

Translation Subject : To purchase the shares of Korat Thani Co.,Ltd. from minority shareholders. To : Directors and Managers of Stock Exchange of Thailand On February 28, 2002, Royal Princess Public Company Limited, a subsidiary company which 79.65% held by Dusit Thani Public Company Limited, had purchased the shares of Korat Thani Co.,Ltd. from minority shareholders, who are not related person according to SET's articles, totally 120,000 shares or 8% of authorized and paid-up capital at the price of Baht 20 per share equivalent to total amount of Baht 2,400,000. The such share has par at Baht 100 per share. When calculated the size of transaction under criterion for the total value of compensation base on the Consolidated Financial Statements as of December 31, 2001, it was 0.05% compare to the value of total assets. The payment to the sellers is giving them the right to use the service within 3 years in the hotels which wholly owned by Dusit Thani Plc. and Royal Princess Plc. However, the sellers have the right to buy the selling shares back within 3 years from February 28, 2002, at book value at the last day of the month prior to the month specified in the intention letter to buy back the shares. The such letter has to be made to the Royal Princess Plc. at least 15 days in advance. After the above transation, the Royal Princess Plc. will increase its investment in Korat Thani Co., Ltd. from 68% to 76% and the Royal Princess Plc. will has more control and well manage in Korat Thani Co.,Ltd.
