DISPOSE INVESTMENT TO SUBSIDIARY COMPANY

Translation December 13, 2000 Subject : Dispose Investment to Subsidiary Company To : Directors and Manager of the Stock Exchange of Thailand The Board of Directors of Dusit Thani Public Company Limited No.8/2000 held a meeting on December 13, 2000 had a resolution that Royal Princess Public Company Limited, a subsidiary company which 79.65% held by Dusit Thani Public Company Limited and 3.24% held by the connected person, to dispose its investment in Supsinthanee Co., Ltd. which consists of Preferred Share 930,000 shares and Common Share 1,199,997 shares to Dusit Thani International Co., Ltd. at Baht 0.01 per share or totalling Baht 21,299.97 which is fair price. The total value of the consideration base on Consolidated Financial Statements as of September 30, 2000 showed the value which compare to the net tangible asset not excess 0.3%. The first disposal will be on December 20, 2000 and the remain will be finish within by the end of year 2001. After completing, Dusit Thani International Co., Ltd. will held 99.99% in Supsinthanee Co., Ltd. The reason of the disposal is Dusit Thani Public Company Limited restructure its subsidiaries.
