October 21, 1999 Subject:Additional disclosure of financial support, which is a connected transaction to subsidiary company To: Directors and Managers of Stock Exchange of Thailand Reference to the letter of Dusit Thani Public Company Limited date September 29,1999, the Company would like to inform the additional information as follows: With the resolution of the Board of Director's meeting of Dusit Thani Public Company Limited # 6/1999 on September 29, 1999 to extend financial support to its subsidiary and associated companies in the amount of 300 million baht, at this early stage it will lend 120 million baht to Royal Princess Public Company Limited, its subsidiary, to settle its outstanding loan with National Finance Public Company Limited. Dusit Thani Public Company Limited will charge an interest rate of MLR per year of Siam Commercial Bank Public Company Limited to Royal Princess Public Company Limited, which is equivalent to what Royal Princess Public Company Limited has been paying to National Finance Public Company Limited. The subsidiary and associated companies which Dusit Thani Public Company Limited will extend financial support are 1. Royal Princess Public Company A subsidiary in which Dusit holds Limited 79.65% stakes. 2. Dusit Resort Cha-am Co., Ltd.A subsidiary in which Dusit holds 97.09% stakes. 3. Philippine Hoteliers, Inc. A subsidiary in which Dusit holds 85.76% stakes. There is not connected person to be shareholder of the rest of 14.24% 4. Dusit Thani International Co., Ltd. A subsidiary in which Dusit holds 99.99% stakes. 5. Dusit Thani College Owned by Royal Princess Public Company Limited Total value for consideration = 13.46% of Dusit net tangible assets which the size of the transaction exceeds 3%, therefore, giving financial support to the subsidiary and associated companies as described above would require the resolution from the shareholders of Dusit Thani Public Company Limited which was scheduled on October 28,1999.
