September 29, 1999 Subject : Announcement of Connected Transaction by a Subsidiary To : Directors and Managers of Stock Exchange of Thailand Announcement of Connected Transaction Dusit Thani Public Company Limited would like to announce that a Board of Director's Meeting # 6/1999 has adopted a resolution on Wednesday, September 29, 1999 to give financial support to Royal Princess Public Company Limited, its subsidiary company, by lending 120 Million Baht to Royal Princess Public Company Limited to settle its outstanding loan with National Finance Public Company Limited. The Royal Princess Public Company Limited borrowed from National Finance Public Company Limited for hotel construction of Royal Princess Srinakarin. Dusit Thani Public Company Limited will charge an interest rate of MLR per year to Royal Princess Public Company Limited the same rate as National Finance Public Company Limited charged to The Royal Princess Public Company Limited. The resolution has related to connected transaction the details are as follows: 1. The date on which the transaction occurred: Royal Princess Public Company Limited. will start its lending from October 29, 1999 and finish within November 30, 1999. 2. The parties involved: Name Relationship with the listed company Borrower: Royal Princess Public Co., Ltd. Subsidiary company in which the Listed Company hold 79.65% of the shares and the connected persons as shareholders. The registered capital is 600 Million Baht and operates hotel business, outside hotel restaurants and hotel management contracts. Lender: Dusit Thani Public Co., Ltd. Listed Company 3. General characteristics of the transaction: Lending 4. Details of the lending source: Cash in hand and at bank of the Listed Company 5. The total value of consideration: Total Value of Consideration = 120,000,000x79.65% = 4.29% Listed Company Net Tangible Assets 2,228,189,000 According to SET rules and regulations, the size of the transaction exceeds 3%. Therefore, approval from the shareholder meeting is required Board of Director's Meeting adopted a resolution to close shareholder registered book on October 14, 1999 and to set Extra Ordinary Shareholders Meeting on October 28, 1999 for the resolution in this transaction. 6.
