Report progress of the amalgamation of subsidiaries

Translation 1 April 2009 Subject : Notification on amalgamation of subsidiary companies To : Directors and Managers of the Stock Exchange of Thailand On March 27,2008 Dusit Thani Public Company Limited (DTC) had informed to the Stock Exchange of Thailand regarding the amalgamation of its subsidiary companies between Royal Princess Public Company Limited (paid up capital of Baht 600,000,000) in which DTC held shares directly of 2.65% and held indirectly through Dusit Thani Properties Co.,Ltd. of 79.81%, total shares held directly and indirectly by DTC of 82.46%, and Dusit Hotel and Resort Company Limited ( paid up capital of Baht 225,000,000) in which DTC held shares directly of 0.81% and held indirectly through Dusit Thani Properties Co.,Ltd. of 97.49%, total shares held directly and indirectly by DTC of 98.3%. (DTC held shares of 99.99% in Dusit Thani Properties Co., Ltd.). At present, both companies were already amalgamated, registered and turned into a new company named Dusit Thai Properties Public Company Limited on April 1,2009 which conducting the business of hotel and hotel management. As a result of the amalgamation, Dusit Thani Public Company Limited held shares directly in the new company of 2.15 % and held indirecty through Dusit Thani Properties Co.,Ltd. of 84.65 %, total shares held directly and indirectly by DTC of 86.8 %.
