To : Directors and Managers of Stock Exchange of Thailand Please be informed the resolutions from the Annual General Shareholders Meeting No. 14/2007 of Dusit Thani Public Company Limited held on April 27, 2007 as follows: 1. Certified and approved the Minutes of the Annual General Shareholders Meeting No. 13/2006. 2. Acknowledged and certified the Company's performance for the year 2006. 3. Approved the Audited Balance Sheets and Statements of Income for the year ended December 31, 2006. 4. Approved the payment of dividend of the year 2006 totaling Baht 1.75 per share equivalent to Baht 146,679,625 as follows: 4.1 The interim dividend for the first half year at Baht 0.75 per share amounting to Baht 61,679,625 which had paid on September 7, 2006. 4.2 The payment dividend for the second half year at Baht 1.00 per share amounting to Baht 85,000,000.The second dividend will be paid on May 25, 2007. The interim dividend of year 2006 was paid after deducting treasury common stocks of 2,760,500 shares, as such dividend was paid on 82,239,500 shares.The dividend for the second half year shall be paid on 85,000,000 shares. 5. Re-elected the Directors whose tenure will end for another term as follows: 1. Mr. Chatri Sophonpanich Chairman 2. Pol.Lt.Chatrachai Bunya-Ananta Director and Executive Director 3. Mr. Kenneth Gaw Korsirisophon Director 4. Professor Sansern Kraichitti Independent Director and Audit Committee Member 6. To determine the Board of Directos' remuneration for the year 2007 as follows: 6.1 Approved the remuneration for attending the meeting not exceed Baht 3,600,000. 6.2 Approved the bonus to the Board of Directors for the year 2007 not exceed Baht 1,466,796. 7. Appointed Mrs. Anothai Leekitwattana or Miss Nangnoi Charoenthaveesub or Mr. Somchai Jinnovart from PricewaterhouseCoopers ABAS Limited as the auditor of the Company for the year 2007.
