INFORM SHAREHOLDERS' RESOLUTIONS AND DIVIDEND PAYMENT

TRANSLATION April 30, 2002 Subject : Inform Shareholders' Resolutions and Dividend Payment. To : Directors and Managers of Stock Exchange of Thailand Please be informed the resolutions from the Annual General Shareholders Meeting No. 9/2002 of Dusit Thani Public Company Limited held on April 30, 2002 as follows: 1. Certified and approved the Minutes of the Annual General Shareholders Meeting No. 8/2001. 2. Acknowledged the Company's performance for 2001. 3. Approved the Balance Sheet and Profit and Loss Statement for fiscal year 2001. 4. Approved the payment of dividend of fiscal year 2001 totaling Baht 2.25 per share equivalent to Baht 191,250,000 as follows: - The interim dividend Baht 1.00 per share the amounting to Baht 85,000,000 which had paid on September 12, 2001. - The payment dividend from the operation period July - December 2001 at the rate of Baht 1.25 per share amounting to Baht 106,250,000. - The date for closing the company share register for the right to receive the dividend will be May 10, 2002 at 12.00 a.m. - The second dividend will be paid on May 24, 2002. Approved a policy that would allow the Company to pay a bonus to the Company's Directors not in excess of 1 % of the total dividend payment. The policy would be in affect for fiscal year 2002 and paid in 2003. 5. Re-elected the Directors whose tenure will be ended for another term as follows: 1. Mr. Vanich Chaiyawan 2. Pol.Lt. Chatrachai Bunya-Ananta 3. Professor Hiran Radeesri 4. Mr. Sakdi Kiewkarnkha And set the remuneration which is the perdium for attendance the meeting for the Board of Directors and Audit Committee for the year 2002 not exceed Baht 2,400,000. 6 Appointed Dr. Suphamit Techamontrikul and /or Mrs. Nachalee Boonyakarnkul and/or Mr. Niti Jungnitnirundr from Deloitte Touche Tohmmastsu Jaiyos Co. as the auditor of the Company for the year 2002. The auditor's remuneration in 2002 is Baht 1,264,000. 7. Approved the additional Company's objective which relate to education business as follows: 1. To operate, establish or joint investment in the business of vocational school and college (after granted the license from government) ../2 - 2 - 2. To operate the business of teaching Foreign language and profession (after granted the license from government) 3. To operate the business of producing and selling tools, equipment, stationary and education appliances of all kinds. 8. Other matters 8.1 The extension of Lease Agreement. The land lease agreement of Dusit Thani Hotel and Dusit Thani Commercial Building date March 16,1966 between The Crown Property Bureau and the Company is scheduled to expire on March 31,2003. In principal, both party agreed that the leasehold for a period of first 15 years will be Baht 1,100 Million. This amount had already been included monthly rental and other fees. The payment will be 3 instalment as follows: 1. April 1,2003 Baht 360 Million 2. April 1,2004 Baht 360 Million 3. April 1,2005 Baht 380 Million At this moment, the such extension has not been signed. The Company will inform the shareholders through SET after signing. 8.2 Dusit Resort Pattaya Hotel Building case. This case is under the proceeding of Southern Civil Court. Yours faithfully, MRS.
