September 23, 1999 Subject:Disclosure of Financial Support to Subsidiary Company To: Directors and Managers of Stock Exchange of Thailand Dusit Thani Public Company Limited holds 79.65% stakes in its subsidiary, Royal Princess Public Company Limited, whereas Royal Princess Public Company Limited holds 68% stakes in its subsidiary, Korat Thani Company Limited. Korat Thani Company Limited, with its registered capital of 150 million baht, has registered as a company with its address at 1137, Suranarai Road, Muang District, Nakornratchasima. Korat Thani Company Limited operates a 186-room hotel, which was opened in 1993. Royal Princess Public Company Limited has given financial support to Korat Thani Company Limited by lending 7 million baht to Korat Thani Company Limited since April 24, 1997 with an interest rate equal to the 3-month fixed deposit rate of the commercial banks. The loan amount has topped up to 58.8 million as of today. Considering the size of the transaction with the net tangible assets in the consolidated financial statement of Dusit Thani Public Company Limited as of June 30, 1999, the size of the transaction was 2.1% and not exceed 3% while Korat Thani Company Limited did not have any related party as its shareholders. Therefore, the Company did not disclose the information to the SET since it was understood that the above transaction was not a related transaction. But the SET inform that giving financial support to a subsidiary company, which is held the share not exceed 90% with the size of the transaction is over 0.03% but not exceed 3%, would be a related transaction and require to disclose information to the SET but would not require the approval from the board.
