The details of the resolutions are as follows: 1.To certify the minutes made at an Extraordinary Shareholders Meeting # 5/1998 held on April 30, 1998. 2. To approve the annual report and directors report for the year 1998. 3. To approve the balance sheet and profit and loss accounts as of December 31, 1998 3.1 To omit the annual dividend payment for the operations from January to December 1998 and not to allocate net profit for legal reserves. 4. To appoint the Companys auditors and set the audit fees 5.1 To appoint Dr. Suphamit Techamontrikul, Certified Public Accountant Registration No. 3356 or Miss Chongchitt Leekbhai, Certified Public Accountant Registration No. 2649, Deloitte Touche Tohmatsu Jaiyos Co., Ltd., as the auditors for the fiscal year 1999. In the absence of the above-named auditors, Deloitte Touch Tohmatsu Jaiyos Company Limited is authorized to identify one other auditor from the same firm to carry the work which the Board of Directors of the Company will recommend to the shareholders, at the next subsequent shareholders meeting for approval. 5.2 The estimated audit fees should not exceed than Baht 1,236,250. 6. To report the investment of Philippine Hoteliers, Inc. Philippine Hoteliers, Inc. (PHI), the Companys subsidiary, was informed from Century Property Management, Inc. (CPMI), a subsidiary company of Century Property Group of the Philippine, that it could not invest to establish a new company which PHI held 51% and CPMI held 49% of its registered capital of 2,000,000 pesos. Therefore, PHI canceled this joint investment. This joint venture company planed to operate service apartment, and operate and franchise hotel under Royal Princess Hotels & Resorts brand name in the Philippines. 7. To approve the appointment of an additional Independent Director and the Chairman of the Companys Audit Committee To approve the appointment of an additional independent director, and appoint Professor Hiran Radeesri to be a new Independent Director and the Chairman of the Companys Audit Committee. 8.
