According to a board of directors meeting # 1/1999 held on February 28, 1999, the Company disposed 1,500,000 shares or 25% of DPMN Industries Co., Ltd.s shares at the price of Baht 0.01 per share, totaling Baht 15,000 to MBK Industry Co., Ltd., whose 99.99$% of shares are hold by MBK Properties and Development Public Co., Ltd.. The payment was completed on April 5, 1999. The total value of consideration, based on the Consolidated Financial Statement of the Company as of January 31, 1999, is 0.0004%, which does not obligate the Company to prepare disclosure report of such transaction according to the notification of the SET regarding rules, procedures and disclosure of information concerning the acquisition and disposition of assets of the listed company. 2. Royal Princess Public Co., Ltd. (a subsidiary in which Dusit Thani Public Co., Ltd. holds 79.65% of total shares) resolved at the board of directors meeting # 1/1999 held on February 8, 1999 to dispose 1,500,000 shares or 25% of DPMN Industries Co., Ltd.s shares at the price of Baht 0.10 per share, totaling Baht 15,000 to MBK Industry Co., Ltd., whose 99.99$% of shares are hold by MBK Properties and Development Public Co., Ltd.. The payment was completed on April 5, 1999. The total value of consideration, based on the Consolidated Financial Statement of the Company as of January 31, 1999, is 0.0008%, which does not obligate the Company to prepare disclosure report of such transaction according to the notification of the SET regarding rules, procedures and disclosure of information concerning the acquisition and disposition of assets of the listed company. In addition, both Dusit Thani Public Co., Ltd. and Royal Princess Public Co., Ltd. have a provision to buy back all of this shares from MBK Properties and Development Public Co., Ltd. and/or its associated and subsidiary companies at the book value as of the date of buy back within 3 years after April 2, 1999.
