ACQUISITION OF DUSIT RESORT CHA-AM CO., LTD.'SHARES

23 September 1998 Subject : Acquisition of Dusit Resort Cha-Am Co., Ltd. To : Directors and Managers of Stock Exchange of Thailand Dusit Thani Public Co., Ltd. had set August 31, 1998 to be the deadline for the acquisition of Dusit Resort Cha-Am Co., Ltd.'s shares from minority shareholders. To date, the Company, has acquired 609,702 shares from 129 shareholders. The payment and transfer of the ownership process will be finished by September 25, 1998. Moreover, the Crown Property Bureau indicated intent to sell their 794,497 shares in Dusit Resort Cha-Am Co., Ltd. to the Company. They are currently preparing all documents for transfer of the ownership process, so the date for the payment and transfer of the ownership process will be set by the Crown Property Bureau later. However, certain minority shareholders were unable to indicate their intent to sell their shares to the Company by the dateline, thus the Company would like to postpone the dateline for responding to be October 15, 1998.
