REPORTS IMPORTTANT INFORMATION OF CONNECTED TRANSACTION

Dusit Thani Plc (DTC) made a contract of hotel business techniques service with M.B.K. Property & Development Plc in which DTC's executive held its major shares. This transaction therefore is fall under connected transaction as stated in the Stock Exchange of Thailand's announcement. DTC reported a memorandum of connected transaction as follows: 1. DTC made a contract of Royal Princess Pathumwan hotel business techniques services with M.B.K. Properties & Development Plc since March 20, 1991. DTC will offer techniques services before the operation of Royal Princess Pathumwan hotel. The details of the given techniques services are about; - Architecture design - Interior design - Machinery and electrical engineering - Household, bar and laundry design - Checking work quality DTC will receive from techiques services given to Royal Princess Pathumwan hotel worth Bt6,500,000 divided into 4 times or Bt1,625,000 per time. The calculation of remuneration value is as below: A total value of remuneration = 6,500,000 x 100 = 0.26% 2,487,283,000 DTC has received Bt1,625,000 from technique service payment for the first time since April, 1991 and others payment will be paid up within the year 1996. 2. Royal Princess Plc, DTC's subsidiary in which DTC held 79.65% of shares, made a contract with M.B.K. Properties & Development Plc to co- execute Royal Princess Pathumwan hotel since September 9, 1994. The contract is 10 years maturity counted since the operation of Royal Princess Pathumwan hotel which expected to operated at the end of 1996. Royal Princess Phathumwan hotel has 385 rooms having 3 canteens, 3 bars and 6 conference rooms and located on 23 rais, 1 ngarn, 49 square wah on Phaya Thai Rd., Wangmai, Phathumwan. DTC received the remuneration from the above-mentioned issue as follows: - DTC received 2.5 % of hotel executive remuneration counted from a total revenues of hotel operation or equivalent to Bt300,000 per month. - DTC received 5 % of profit from the initial operation of the hotel.
